1. Acceptance of Terms

Welcome to QuantumHarbor. These Terms of Service ("Terms") govern your use of the QuantumHarbor marketplace platform and related services provided by QuantumHarbor B.V., a Dutch company registered in the Netherlands.

By accessing or using our platform, creating an account, or engaging in any transactions through QuantumHarbor, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our services.

These Terms constitute a legally binding agreement between you and QuantumHarbor. We may modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the platform after any changes constitutes acceptance of the new Terms.

2. Platform Description

QuantumHarbor operates an online marketplace platform that connects buyers and sellers across Europe. Our platform provides tools and services to facilitate transactions, but we do not directly sell products or services ourselves.

As a marketplace operator, QuantumHarbor acts as an intermediary between buyers and sellers. We provide the technological infrastructure, payment processing services, and support systems, but the actual sale contracts are formed directly between buyers and sellers.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice, though we will endeavour to provide reasonable advance notice of significant changes.

3. User Accounts and Responsibilities

To use certain features of our platform, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Requirements

• You must be at least 18 years old or the age of majority in your jurisdiction
• You must provide accurate and truthful information
• You must have the legal capacity to enter into contracts
• You must comply with all applicable laws and regulations

User Obligations

• Maintain accurate and up-to-date account information
• Protect your account credentials and notify us of any unauthorised access
• Use the platform in compliance with these Terms and applicable laws
• Respect the rights and privacy of other users

Prohibited Activities

4. Transactions and Payments

All transactions on the QuantumHarbor platform are subject to our payment processing terms and applicable fees. We use secure third-party payment processors to handle financial transactions.

Payment Terms

• All prices are displayed in the currency specified by the seller
• Payment must be made through our approved payment methods
• Fees and charges are clearly disclosed before completing transactions
• Refunds are subject to our refund policy and seller terms

Seller Responsibilities

• Provide accurate product descriptions and pricing
• Fulfil orders promptly and as described
• Handle customer service and support for your products
• Comply with applicable tax obligations

Buyer Responsibilities

• Review product descriptions and seller terms before purchasing
• Provide accurate shipping and contact information
• Communicate directly with sellers regarding orders
• Leave honest and fair reviews and ratings

5. Intellectual Property

The QuantumHarbor platform, including its design, functionality, text, graphics, logos, and software, is owned by QuantumHarbor and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our platform without explicit permission.

User Content

You retain ownership of content you submit to our platform, including product listings, descriptions, and images. However, by submitting content, you grant QuantumHarbor a worldwide, non-exclusive, royalty-free licence to use, display, and distribute your content in connection with our services.

Intellectual Property Infringement

We respect intellectual property rights and expect our users to do the same. If you believe your intellectual property rights have been infringed, please contact us immediately with detailed information about the alleged infringement.

Users who repeatedly infringe intellectual property rights may have their accounts suspended or terminated.

6. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms part of these Terms. By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

We comply with applicable data protection laws, including the General Data Protection Regulation (GDPR). You have rights regarding your personal data as outlined in our Privacy Policy.

7. Limitation of Liability

To the maximum extent permitted by law, QuantumHarbor shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or related to your use of our platform.

Platform Availability

While we strive to maintain continuous service, we do not guarantee that our platform will be available at all times. We may experience downtime for maintenance, updates, or due to factors beyond our control.

Third-Party Services

Our platform may integrate with third-party services. We are not responsible for the availability, accuracy, or content of these third-party services.

Our total liability to you for all claims arising from your use of our services shall not exceed the amount you have paid to QuantumHarbor in the twelve months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless QuantumHarbor, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses arising out of or related to your use of our platform, your violation of these Terms, or your violation of any rights of another party.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the Dutch courts.

For consumers within the European Union, this choice of law and jurisdiction shall not deprive you of the protection afforded by mandatory provisions of consumer protection laws in your country of residence.

10. Dispute Resolution

We encourage users to resolve disputes amicably through direct communication. If a dispute cannot be resolved directly, we offer mediation services to help parties reach a mutually acceptable solution.

11. Termination

Either party may terminate this agreement at any time. You may close your account by following the account closure process in your account settings. We may suspend or terminate your account if you violate these Terms or engage in prohibited activities.

Effect of Termination

Upon termination, your right to use our platform will cease immediately. However, certain provisions of these Terms will survive termination, including those related to intellectual property, limitation of liability, and governing law.

We will handle your personal data in accordance with our Privacy Policy and applicable data protection laws following account termination.

12. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific services, constitute the entire agreement between you and QuantumHarbor.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor entity.
